UnknownMayer Brown announced that it represented TransCanada Corporation in connection with entering into an agreement and plan of merger pursuant to which it will acquire Columbia Pipeline Group, Inc., a Houston-based company that owns, operates and develops a network of interstate natural gas pipelines extending from New York to the Gulf of Mexico, as well as storage and related midstream assets.

The agreement was signed March 17 and the acquisition is expected to close in the second half of 2016.

Including the assumption of debt, the value of the transaction is approximately $13 billion.

In connection with the transaction, Mayer Brown also represented TransCanada as U.S. counsel on approximately $10.3 billion of committed acquisition credit facilities and a CDN $4.2 billion subscription receipts offering.
