ams-imageAustria Microsystems AG (AMS) signed a contract for the acquisition of Singapore-based Heptagon Advanced Micro-Optics PTE. LTD (Heptagon). Sellers are primarily a number of renowned financial investors and the management and employees of Heptagon. It is expected that the closing of the transaction will be carried out in the next three months.

The purchase price for Heptagon corresponds to an amount of approximately $570 million (based on the purchase price), which may increase if necessary by an earnout by an amount of up to $285 million.
Payment of the basic purchase price is largely through shares of AMS and to a lesser extent in cash. For AMS it is around 5 million shares transferred to create around 11 million new shares from authorized capital, which will also be approved for trading on the stock exchange in Zurich. After completion of the transaction, the former owners of Heptagon will hold a stake of around 20 percent of AMS.
